This Agreement is entered into as of the date indicated below by and between Summit Transformation®, Inc. d/b/a Balanced You™ (hereinafter “Company”) and You, as the Facilitator/ Client, as indicated below on the signature line. This Agreement sets forth the terms and conditions that will govern the Summit Transformation™ Facilitator Certification.
1. Facilitator Certification
The Company extends Certification to You, as a Facilitator of the Summit Transformation® process upon successful completion of the Summit Transformation® Workshop, and payment of the Facilitator Certification Training Fee (as indicated on your sales or order form page). You acknowledge that upon successful completion of the Workshop, you will have the right to facilitate the Summit Transformation® Level Workshop that you completed in private or group sessions, personally or professionally, with clients or others, for monetary gain or otherwise, at your discretion.
To be clear, this provides you with a Certification to use the method for yourself and with your own clients.
You expressly agree that you will NOT TEACH the Summit Transformation® process to others in any way, to groups or individuals, professionally or privately, for monetary gain or otherwise.
You understand that leaving the teaching of Summit Transformation® to Certified Summit Transformation® Teachers helps maintain the integrity of the process which is of benefit to You and others who use the process.
Teaching the Summit Transformation® process shall be considered an automatic breach of these terms and your Certification shall immediately be revoked.
2. Earnings Disclaimer
RESULTS ARE NOT GUARANTEED. Any statement made on the Company website or in the program or workshop regarding income or earnings are provided as examples only, and do not guarantee you future earnings or income. There is no guarantee that you will achieve the same or similar results. As with any endeavor, results may vary, and depend on a wide variety of factors including, but not limited to, your skill, knowledge, ability, dedication, business savvy, network, and financial situation. The use of any products or services offered through the Company should be based on your own due diligence. You agree that the Company (including its agents, representatives, sponsors, promoters, advertisers or affiliates), are not responsible for the success or failures you experience in your business or personal life.
3. Medical Disclaimer
The Summit Transformation® process is limited to the modification of beliefs and is not intended to diagnose or treat medical problems. Always advise clients to seek professional medical and mental healthcare.
This certification does not grant you any type of medical license. Do not advise or comment on client’s prescriptions or doctors recommendations.
This process is a supplement to professional care.
4. Disclaimer of Warranties
The Company does not make any warranties or representations as to the success of or the value or role of the Summit Transformation® process in Your work.
5. Reputation
You agree to represent yourself and your knowledge of the Summit Transformation® process and all information contained in the curriculum in a manner which does not reflect adversely on the name and reputation of the Company.
6. Copyrights and Trademarks - Limitations and License to Use (Upon Certification)
You acknowledge that the Company is the owner of certain rights, including but not limited to copyrights, trademarks, concepts, and confidential trade secrets, workbooks, handouts and materials pertaining to Summit Transformation®.
You further acknowledge and agree that the Summit Transformation® training materials , logos and other trade symbols used in a Summit Transformation® workshop or on the www.SummitTransformation.org or www.BalancedYou.org websites are proprietary, intellectual property of the Company and You agree not to reproduce, in whole or in part, or to utilize, plagiarize or imitate any of the Summit Transformation® processes, strategies, handouts or graphics without the express written consent of the Company.
You understand that upon successful completion of the course, You may use the Summit Transformation® name on your website, business cards or other printed materials, provided that you include the trademark symbol.
You understand that You may not use the Summit Transformation® or the Balanced You™ name as part of your website, domain name, or URL, or as part of your email address.
Once You have completed Summit Transformation® certification courses, You will be permitted to use the Summit Transformation® Certified Logo in your advertising and marketing.
7. Relationship
You understand and agree that You are not Company’s employee, agent or representative and have no authority to bind or commit Company to any agreements or other obligations.
8. Additional Costs
You are responsible for all costs associated with the use of the Summit Transformation® process in your work.
9. Program Updates
So long as You are providing services that utilize the Summit Transformation® process, You agree to notify the Company of any change in address, phone number and email so that the Company, at all times, is able to keep You up-to-date and informed on any changes to the Summit Transformation® process.
The Company reserves the right, in its sole discretion, to make any updates to the Summit Transformation® process, or in the future add any additional certification requirements as may be necessary to protect the work or the Company. The Company will endeavor to keep you apprised of any program updates or requirements and will provide you the opportunity to continue with your certification.
10. Advertising Policy and Restrictions
You agree not to engage in any advertising practices which are false or deceptive or which make misleading claims as to the use of the Summit Transformation® process. You agree to use one of the following advertising statements and will not make any claims contrary to this policy:
Approved Descriptions:
Summit Transformation® is a process to change beliefs. When you change your beliefs, you can change the printout of your life.
Summit Transformation® is a process for advanced mindset work. It programs your mind for ultimate success.
Summit Transformation® helps you program yourself for your optimal health and wellbeing, relationships, and professional success.
11. Liability Waiver
You agree to release, waive, discharge, indemnify and hold harmless Company and its affiliates, subsidiaries, successors or assigns, and owners, representatives, agents, directors, employees or volunteers (hereinafter “the Indemnified Parties”) from any claims demands, causes of action, or losses, present or future, whether known or unknown, that may arise as a result of any injury, loss or damage, including and without limitation, personal, bodily or mental injury, economic loss or damage to You resulting from your voluntary participation in the Summit Transformation® workshop and any subsequent courses or activities covered by this Agreement, including using any portion of the Summit Transformation® curriculum in your work.
12. Dispute Resolution
In the event of any disputes governed by this Agreement, the Parties agree to first negotiate directly with each other and make best efforts to attempt to resolve the disagreement, second, to mutually choose an independent third-party mediator and jointly share the costs of such mediation, and third, to use binding arbitration in lieu of pursuing litigation.
13. Severability
If any provision of this Agreement, or any portion thereof, is held to be invalid and unenforceable, then the remainder of this Agreement shall nevertheless remain in full force and effect, and the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision.
14. Counterparts
This Agreement may be executed in counterparts, by signatures transmitted by facsimile or through electronic means, each of which shall be deemed an original and which together shall constitute one and the same agreement.
15. Injunctive Relief
The Parties agree that in the event of a breach or threatened breach of this Agreement by You, the Company will suffer irreparable harm and will therefore be entitled to injunctive relief to enforce this Agreement, in addition to any other remedies available in law or equity.
16. Notices
Any and all notices, demands, or other communications desired to be given hereunder by any party shall be in writing and may be validly given or made to another party if sent via e-mail subject to a return e-mail acknowledging receipt, which shall not be unreasonably withheld. Any party may change its address for such communications by giving notice to the other party in conformity with this section.
